Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the RoxyAPI platform and related services (collectively, the "Service") operated by Roxy Labs, a business registered in India ("we", "us", or "our"). You can reach us through our contact page. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access the Service.
You must be at least 18 years old or the age of majority in your jurisdiction to use this Service. Accounts registered by automated methods ("bots") are not permitted. You must provide accurate information and maintain the security of your account.
2. API Access and Usage
2.1 API Keys
You receive an API key upon successful subscription payment. Secret API keys are confidential and must not be shared, published in public repositories, or transmitted insecurely. Publishable keys are designed for browser use and are restricted by the origin allowlist you configure. You are responsible for all activity under either key.
2.2 Rate Limits
Your API usage is limited to the request quota of your selected plan. Rate limits are enforced per calendar month (UTC). Exceeding your quota will result in 429 (Too Many Requests) responses until the next calendar month begins or you upgrade your plan.
2.3 Acceptable Use
You agree not to:
- Use the API for illegal activities or to violate any laws
- Attempt to circumvent rate limits or security measures
- Resell, sublicense, share, redistribute, or proxy API access; aggregate quota across third parties; or operate a service whose primary purpose is to relay RoxyAPI responses to your customers without our prior written consent
- Use API responses, in whole or in part, to train, fine-tune, or distill any machine-learning or generative-AI model, or to create derivative datasets for that purpose, without our prior written consent. This restricts training, not use: see section 2.5
- Generate excessive load that impacts service availability for other users
- Reverse engineer, decompile, or attempt to extract source code
- Use automated tools to scrape or harvest data beyond your plan limits
- Attempt prompt injection, jailbreaks, or other adversarial inputs against the Rosie chat assistant or any AI-assisted feature
- Use the Service as a source from which a competing API, MCP service, or data product is designed or derived
- Use API output to generate unlawful, defamatory, or harassing content
2.4 Testing and Comparison Are Permitted
Section 2.3 does not restrict you from comparing our responses against other sources, including your own independent implementation, for integration testing, discrepancy investigation, quality assurance, or regression testing. That use requires no consent from us and no notice to us. Publishing comparison results that identify RoxyAPI is also permitted, provided the method and the inputs are disclosed so that a reader can reproduce them; we publish our own comparison harness under an MIT licence at astrology-api-benchmark for exactly that purpose.
What section 2.3 prohibits is narrower and is about derivation rather than measurement: using our output as the material from which a competing engine or dataset is built, and the separate machine-learning restriction above. Verifying that our numbers are correct is always permitted, and so is building your own product on the results you retrieve, which is what the licence in section 5 exists for. What is not permitted is assembling them into something other people query in place of us.
2.5 Processing Results With AI Tools Is Permitted
The machine-learning restriction in section 2.3 is about training a model, not about using one. It does not restrict you from passing results through a third-party model at inference time to translate, summarise, rewrite, narrate, or answer your own users' questions, including with hosted providers such as OpenAI, Anthropic, or Google, and including where the model is part of your own agent, chatbot, or content pipeline. That is an ordinary use of the results licensed to you under section 5, it needs no consent and no notice, and our Remote MCP servers exist to support it.
What section 2.3 restricts is using responses as training, fine-tuning, or distillation data for a model, or assembling them into a dataset for that purpose. If you want to do that, ask us; it is consent-gated rather than forbidden.
3. Billing and Payments
3.1 Subscription Plans
Subscription plans are billed on a pre-paid basis for monthly or annual periods as selected at checkout. All prices are displayed in USD or INR based on your selection. Prices may change with at least 30 days advance notice sent by email to the address on your subscription, with the change effective only on or after your next renewal date. Your subscription will be charged on the day you sign up and will cover usage for the selected billing period.
3.1a Auto-Renewal
Subscriptions renew automatically at the end of each billing period at the same plan rate unless cancelled. Renewal notices are sent by the payment provider you checked out with, not by us, and your renewal date is always shown in your account dashboard. Indian customers receive an additional pre-debit notice at least 24 hours before each charge as required by the Reserve Bank of India. You may cancel at any time from the Billing tab of your account dashboard or via our contact page; cancellation stops the next renewal charge and your API key remains usable through the end of the current billing period.
3.2 Payment Processing
Payments are processed through PCI-DSS compliant third-party payment providers. We do not store your complete payment card details on our servers. The active provider for your transaction is shown at checkout. By subscribing, you authorize us to charge your payment method for the subscription fees and any applicable taxes. You are responsible for providing accurate billing information and updating payment methods as needed.
3.3 Taxes
All fees are exclusive of applicable taxes, duties, and similar assessments. You are responsible for all taxes associated with your purchase except for taxes based on our net income. We will charge applicable taxes (GST, VAT, sales tax) as required by local law.
3.4 Refunds
All payments to RoxyAPI are final and non-refundable. The full eligibility criteria, narrow exceptions for verified billing errors and extended platform outages, chargeback handling, and contact procedure are documented in the dedicated Refund Policy. Before subscribing, you have full opportunity to evaluate the Service through the free surfaces listed in that policy.
3.5 Cancellation
You can self-serve cancellation any time from the Billing tab of your account dashboard. Cancellation stops the next renewal charge. Your subscription remains active and your remaining request quota stays usable through the end of the current billing period (the end date shown in the same view). There are no cancellation fees, and apart from the cases in section 4 of the Refund Policy we do not offer prorated refunds for unused portions of a subscription period.
3.6 Plan Changes
Automated plan switching is not currently supported. To move to a different plan, cancel your active subscription and subscribe to the new tier. Your access continues through the end of the current billing period. Automated plan upgrades and downgrades are planned for a future release.
3.7 Non-Payment
Your renewal date is shown in your account dashboard, and it is your responsibility to ensure payment methods are current. Failure to pay will result in immediate suspension of API access. Accounts suspended for non-payment for more than 30 days will lose API access permanently. Billing and account records are retained per our Privacy Policy and applicable Indian tax record-keeping rules.
4. Service Availability
We target 99.95% uptime, and the live figure is published on an independent third-party status page linked in the footer. Scheduled maintenance is announced in advance where reasonably possible. We publish no contractual service-level credit at the Starter tier, and discretionary compensation for a prolonged outage is available on every plan. For prolonged outages, contact us under Section 4 of the Refund Policy.
5. Intellectual Property
The API, the calculation engine, our documentation, and our written interpretation content remain our property. Your subscription grants you a worldwide, non-exclusive, non-transferable license to use the API and its output in your own applications and products, including commercially.
5.1 You may store results. You may store, normalize, index, and cache API responses in your own systems for as long as you need them. There is no requirement to call us again for data you already hold.
5.2 Results you retrieved stay yours after the term. The license to use any result you lawfully retrieved during a paid term is perpetual and irrevocable, and survives cancellation or expiry of your subscription. Your subscription ending stops new API calls; it does not require you to delete or stop using results already delivered to you. Data your own users depend on will not disappear because a billing period ended.
5.3 You may translate and adapt interpretation text. You may translate, edit, shorten, and rewrite our interpretation content to fit the voice of your product. If you materially alter our text, you may not attribute the altered version to us or present it as our editorial content.
5.4 Works you derive from results are yours. Translations, rewrites, summaries, structured adaptations, and other works you create from results you retrieved during a paid term are your works. The perpetual licence in section 5.2 extends to using them, and you may continue to create and serve new outputs from them after your subscription ends, including for customers you acquire later. The limits in sections 2.3 and 5.5 apply to those works exactly as they apply to the underlying results.
5.5 What remains prohibited. You may not package API responses into a bulk data product, sell them as a standalone dataset, or re-expose them through a competing API or MCP service. You may not resell or share your API key or plan quota with third parties who are not using your product. You may not claim our calculation engine as a system you built or operate, or attempt to reverse engineer it from responses. Full detail, including worked examples, is on the License page.
6. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that data will be accurate or reliable.
API data is provided for informational and entertainment purposes only. We make no representations about the accuracy, reliability, completeness, or timeliness of any data. You should not rely on API responses for critical decisions without independent verification. We are not responsible for any decisions made based on API data.
The Service includes an AI assistant ("Rosie") that responds to questions using a third-party large-language-model provider. Rosie outputs are generated by AI, may be inaccurate, incomplete, or out of date, and must not be relied on for legal, medical, financial, or other professional decisions. You will be told when you are interacting with Rosie. We disclaim all warranties relating to AI-generated content.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ROXYAPI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
- ANY DAMAGES RESULTING FROM SERVICE INTERRUPTIONS, DOWNTIME, OR DATA LOSS
- ANY DAMAGES RESULTING FROM THIRD-PARTY SERVICES, PAYMENT PROCESSORS, OR INFRASTRUCTURE PROVIDERS
- ANY DAMAGES RESULTING FROM ERRORS, BUGS, OR INACCURACIES IN API DATA
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 USD, WHICHEVER IS GREATER.
The above cap and exclusions do not apply to: (a) liability for gross negligence or willful misconduct; (b) breach of confidentiality obligations; (c) indemnification obligations under Section 8; or (d) your obligation to pay fees that have accrued.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
8. Indemnification
8.1 Customer indemnity. You agree to indemnify, defend, and hold harmless RoxyAPI, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorney fees) arising from: (a) your use or misuse of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, including intellectual property or privacy rights, or (d) any harm caused by your API key being compromised due to your negligence.
8.2 Provider indemnity. RoxyAPI will defend you against any third-party claim that the Service, when used in accordance with these Terms, infringes such third party intellectual property rights, and will pay damages finally awarded by a court of competent jurisdiction or agreed in settlement, provided you give us prompt written notice and sole control of the defense. This obligation does not apply to claims arising from your modifications, your data, or your combination of the Service with non-RoxyAPI products.
9. API Rate Limiting and Abuse
Excessive or abusive requests to the API may result in temporary or permanent suspension of your account. We will use reasonable judgment to assess abuse, considering request volume, error patterns, and security signals. Where feasible we will warn you by email before suspension; we may suspend immediately for severe abuse or active security threats. You may appeal a suspension via our contact page; we will respond within 5 business days.
10. Termination
You may cancel your subscription at any time from your account dashboard. Your API access will remain active until the end of your current billing period. We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice, with or without cause, effective immediately. Upon termination, all provisions that should survive will survive, including ownership, warranty disclaimers, indemnity, limitations of liability, and the perpetual license under Sections 5.2 and 5.4 to results you already retrieved and to works you derived from them.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall take place in Mumbai, India, in the English language.
For consumer claims under USD 10,000 (or local equivalent), you may choose to bring the claim in either (i) small-claims or consumer court in your place of residence, or (ii) the consumer-grievance forum in India. Class actions and jury trials are waived to the maximum extent permitted by law.
12. Export Controls
You agree to comply with all applicable export and import control laws and regulations. You will not use the Service in any country or region subject to comprehensive sanctions, or provide access to any person or entity on restricted lists. Restricted lists include the OFAC Specially Designated Nationals list, the UN Consolidated Sanctions list, the EU Consolidated List, and equivalent Indian government sanctions notifications.
13. Force Majeure
Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, pandemic, government action, sanctions, war, civil unrest, internet or cloud-infrastructure outages, denial-of-service or other cyberattacks, or upstream payment-provider failure. The affected party will notify the other promptly and use reasonable efforts to mitigate. Payment obligations are not excused.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active subscribers at least 30 days before taking effect. The "Last updated" date at the top will be revised. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not accept material changes, you may cancel before the changes take effect and receive a pro-rata refund for the unused remainder of your current billing period, calculated to the day.
15. Miscellaneous
15.1 Entire agreement and incorporated documents. These Terms, together with the documents named in this section, constitute the entire agreement between you and RoxyAPI regarding the Service and supersede any prior understanding on the same subject. The License Policy, the Privacy Policy, the Refund Policy, and, where its scope applies to you, the Data Processing Addendum together with its annexes and the Standard Contractual Clauses it incorporates, are incorporated into and form a binding part of these Terms. Each is a contractual document, not a description of practice, and each is capable of being relied on as such.
15.2 Order of precedence. If a conflict arises between these Terms and an incorporated document, the conflict is resolved in this order: the Standard Contractual Clauses prevail over everything for restricted transfers; the Data Processing Addendum prevails on any matter of data protection; the License Policy prevails on the scope, duration, and survival of the rights granted in API output; the Refund Policy prevails on refund eligibility; and these Terms govern every other matter. The perpetual and irrevocable licence to results you retrieved during a paid term is stated in section 5.2 above and expanded in the License Policy; the two are intended to be read consistently, and section 5.2 together with the survival clause in section 10 controls if they ever diverge.
15.3 General. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision will not be deemed a waiver. You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
16. Grievance Redressal
For complaints about the Service or these Terms, contact our Grievance Officer through our contact page. We will acknowledge within 48 hours and resolve within 30 days as required by the Consumer Protection (E-Commerce) Rules, 2020. For data-protection queries under the Digital Personal Data Protection Act, 2023, use the same channel and mark the request "DPDP".
