1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the RoxyAPI platform and related services (collectively, the "Service") operated by RoxyAPI ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access the Service.

You must be at least 18 years old or the age of majority in your jurisdiction to use this Service. Accounts registered by automated methods ("bots") are not permitted. You must provide accurate information and maintain the security of your account.

2. API Access and Usage

2.1 API Keys

You receive an API key upon successful subscription payment. API keys are confidential and must not be shared, published in public repositories, or transmitted insecurely. You are responsible for all activity under your API key.

2.2 Rate Limits

Your API usage is limited to the request quota of your selected plan. Rate limits are enforced per calendar month (UTC). Exceeding your quota will result in 429 (Too Many Requests) responses until the next billing cycle or plan upgrade.

2.3 Acceptable Use

You agree not to:

• Use the API for illegal activities or to violate any laws
• Attempt to circumvent rate limits or security measures
• Resell or redistribute API access without written permission
• Generate excessive load that impacts service availability for other users
• Reverse engineer, decompile, or attempt to extract source code
• Use automated tools to scrape or harvest data beyond your plan limits

3. Billing and Payments

3.1 Subscription Plans

Subscription plans are billed on a pre-paid basis for monthly or annual periods as selected at checkout. All prices are displayed in USD or INR based on your selection. Prices may be changed with 30 days' prior written notice to active subscribers. Your subscription will be charged on the day you sign up and will cover usage for the selected billing period.

3.2 Payment Processing

Payments are processed through third-party payment gateways: Stripe and PayPal for USD transactions, and Razorpay for INR transactions. We do not store your complete payment card details on our servers. By subscribing, you authorize us to charge your payment method for the subscription fees and any applicable taxes. You are responsible for providing accurate billing information and updating payment methods as needed.

3.3 Taxes

All fees are exclusive of applicable taxes, duties, and similar assessments. You are responsible for all taxes associated with your purchase except for taxes based on our net income. We will charge applicable taxes (GST, VAT, sales tax) as required by local law.

3.4 Refunds

Refunds are available within 24 hours of your initial payment for subscriptions with minimal or no API usage. To request a refund, contact us with your subscription details. Refunds are processed to the original payment method within 5-10 business days. Once significant API usage has occurred, refunds are not available. Subscription fees once paid are not liable for refund in any case except as stated above.

3.5 Cancellation

You may cancel your subscription at any time by contacting us. Upon cancellation, your subscription will remain active until the end of your current billing period. There are no cancellation fees, but we do not offer prorated refunds for unused portions of a subscription period.

3.6 Plan Changes

You may upgrade or downgrade your plan at any time by contacting us. Upgrades take effect immediately with prorated charges. Downgrades take effect at the start of your next billing cycle. Changes are applied on a pro-rata basis where applicable.

3.7 Non-Payment

We will send reminders before subscription expiration, but it is your responsibility to ensure payment methods are current. Failure to pay will result in immediate suspension of API access. Accounts suspended for non-payment for more than 30 days may be permanently deleted.

4. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible. We are not liable for damages resulting from service interruptions or data loss.

5. Intellectual Property

All API responses, data, documentation, and code examples remain the property of RoxyAPI. Your subscription grants you a limited, non-exclusive, non-transferable license to use the API for your applications. You may not claim ownership of our data or present it as your own.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that data will be accurate or reliable.

API data is provided for informational and entertainment purposes only. We make no representations about the accuracy, reliability, completeness, or timeliness of any data. You should not rely on API responses for critical decisions without independent verification. We are not responsible for any decisions made based on API data.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ROXYAPI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
• ANY DAMAGES RESULTING FROM SERVICE INTERRUPTIONS, DOWNTIME, OR DATA LOSS
• ANY DAMAGES RESULTING FROM THIRD-PARTY SERVICES, PAYMENT PROCESSORS, OR INFRASTRUCTURE PROVIDERS
• ANY DAMAGES RESULTING FROM ERRORS, BUGS, OR INACCURACIES IN API DATA

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless RoxyAPI, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, including intellectual property or privacy rights, or (d) any harm caused by your API key being compromised due to your negligence.

9. API Rate Limiting and Abuse

Excessive or abusive requests to the API may result in temporary or permanent suspension of your account. We, in our sole discretion, will determine what constitutes abuse. We will make reasonable attempts to warn you via email before suspension, but reserve the right to suspend immediately in cases of severe abuse or security threats.

10. Termination

You may cancel your subscription at any time by contacting us. Your API access will remain active until the end of your current billing period. We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice, with or without cause, effective immediately. Upon termination, all provisions that should survive will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall take place in Mumbai, India, in the English language.

You agree to waive any right to a jury trial or to participate in a class action against us. For claims under $10,000 USD (or equivalent), you may choose small claims court in your jurisdiction instead of arbitration.

12. Export Controls

You agree to comply with all applicable export and import control laws and regulations. You will not use the Service in any country or region subject to comprehensive sanctions, or provide access to any person or entity on restricted lists.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active subscribers at least 30 days before taking effect. The "Last updated" date at the top will be revised. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

14. Miscellaneous

These Terms constitute the entire agreement between you and RoxyAPI regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision will not be deemed a waiver. You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
